Terms of Service

Welcome to Vaultory! These Terms of Service ("Terms") govern your use of the Vaultory mobile application ("App") operated by Vaultory LLC ("Vaultory," "we," "us," or "our").

1. Eligibility

You must be at least 18 years old to use the App. By using the App, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. Account Registration

To use certain features of the App, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

3. Description of Service

Vaultory is an inventory management application designed to help users catalog, track, and manage valuable items including but not limited to firearms, watches, safes, and other collectibles. The App provides:

• Inventory cataloging and management
• AI-powered item identification and scanning
• Market value estimates from third-party sources
• Document storage and organization
• Report generation for insurance and estate planning
• Connections to third-party insurance providers

4. Subscription Plans and Payments

4.1 Free and Paid Tiers

The App offers a free tier with limited features and paid subscription tiers (Pro and Elite) with enhanced capabilities. Current pricing and features are displayed in the App.

4.2 Billing

• Subscriptions are billed through Apple App Store or Google Play
• Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period
• You can manage and cancel subscriptions through your device's app store settings

4.3 Refunds

Refunds are handled by Apple or Google according to their respective policies. We do not process refunds directly.

5. User Content and Data

5.1 Your Content

You retain ownership of all content you submit to the App, including inventory data, photos, and documents ("User Content"). By submitting User Content, you grant us a limited license to use, store, and process it solely to provide the App's services.

5.2 Accuracy of Information

You are solely responsible for the accuracy of the information you enter. We do not verify serial numbers, ownership, or other details you provide.

5.3 Prohibited Content

You agree not to submit content that:

• Violates any applicable law or regulation
• Infringes on intellectual property rights
• Contains malicious code or harmful data
• Is fraudulent, misleading, or deceptive

6. Value Estimates and Market Data

• We do not guarantee the accuracy of value estimates
• Market values fluctuate and may change rapidly
• Value estimates should not be relied upon for insurance coverage, legal proceedings, or financial decisions without independent professional appraisal
• We are not responsible for any decisions made based on value estimates

7. AI Scanner and Identification

The App's AI Scanner feature uses artificial intelligence to identify items from photos. You acknowledge that:

• AI identification may not be 100% accurate
• You should verify all AI-generated information before relying on it
• Images processed by AI may be transmitted to third-party AI providers
• We are not responsible for errors in AI identification

8. Insurance and Third-Party Services

The App may provide links to third-party insurance providers and other services. We are not affiliated with these providers and:

• Do not endorse or guarantee their services
• Are not responsible for their products, policies, or practices
• Do not receive or process insurance applications
• Recommend you review their terms and privacy policies independently

9. Estate Planning Features

Estate planning features (including beneficiary assignment and emergency access codes) are provided for convenience only. They do not constitute legal documents and:

• Do not replace a legal will or estate plan
• May not be legally binding in your jurisdiction
• Should be used in conjunction with proper legal counsel
• We are not responsible for estate distribution disputes

10. Firearms and Legal Compliance

• You are solely responsible for complying with all federal, state, and local laws regarding firearm ownership, storage, and transfer
• The App does not verify legal ownership or eligibility to possess items
• Cataloging an item in the App does not constitute proof of ownership
• We do not report inventory data to any government agency

11. Intellectual Property

The App, including its design, features, code, and content (excluding User Content), is owned by Vaultory LLC and protected by intellectual property laws. You may not:

• Copy, modify, or distribute the App
• Reverse engineer or decompile the App
• Use our trademarks without permission
• Remove any proprietary notices

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• WE ARE NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS
• WE ARE NOT RESPONSIBLE FOR DATA LOSS, THEFT, OR UNAUTHORIZED ACCESS

13. Indemnification

You agree to indemnify and hold harmless Vaultory LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any law or third-party rights
• Your User Content

14. Termination

We may suspend or terminate your access to the App at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the App ceases immediately
• We may delete your account and User Content
• Provisions that should survive termination will remain in effect

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes through the App or by email. Your continued use after changes constitutes acceptance of the modified Terms.

16. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Travis County, Texas.

17. Arbitration Agreement

You agree that any dispute arising from these Terms or your use of the App shall be resolved by binding arbitration administered by the American Arbitration Association, rather than in court, except that you may assert claims in small claims court if eligible.

18. Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

19. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vaultory LLC regarding the App.
